TerraVolt Holdings’ Form 8-K states that it entered into two option agreements on October 26, dated October 23, with Wickel Land Company LLP for land outside Declo in Cassia County, Idaho. It deposited $150,000 in option fees with TitleOne: half is nonrefundable and releasable to the seller, while half remains in escrow pending exercise, termination, or expiration.
The first agreement covers approximately 903.3 acres at $30,000 per acre, payable in cash; the second covers approximately 174.10 acres and specifies convertible secured promissory-note consideration. These are purchase options rather than completed land acquisitions, and surveyed acreage and boundaries will govern the transactions. The supplied excerpts do not disclose the note’s conversion price, collateral particulars, or resulting dilution.
TerraVolt describes its Physical Infrastructure-as-a-Service platform as being in early development, combining onsite natural-gas generation with planned construction-ready sites, utilities, and fiber connectivity. The proposed initial 240 MW is generation capacity, not commissioned data-center load, and the filing cites a previously announced firm gas-supply agreement for 55,000 million British thermal units per day. The site is near State Highway 81, Interstate 84, long-haul fiber routes, and the Williams Northwest Pipeline.
The agreements contemplate onsite generation primarily consumed by the campus, without grid-parallel operation or offsite power exports except for specifically approved limited functions. Development remains subject to governmental, utility, and regulatory approvals, as well as due diligence. In its filed press release, TerraVolt also states an intention to require low-water-use cooling as a condition of site sales; claimed schedule and community benefits remain company expectations, not independently verified operating results.
