Dongbai Group (东百集团) proposes making the acquisition through its wholly owned subsidiary, Fujian Dongbai Chuangzhi Investment (福建东百创智投资有限公司). Its board approved the proposal on October 11, with a provisional consideration of RMB316 million for 52.6667% of Hangzhou Kuailing Optoelectronics (杭州快灵光电科技有限公司); completion would bring the target and its wholly owned subsidiary, Zhejiang Guangte Technology (浙江光特科技有限公司), into consolidated financial statements.
Kuailing develops, manufactures, and sells photodetector chips. It reported 2025 revenue of RMB39.7613 million and a net loss of RMB15.0722 million, compared with January–August 2026 revenue of RMB34.8693 million and a net loss of RMB2.5170 million; the latter figures cover eight months, not a full year.
The company’s disclosure states that the target’s optical-communications revenue currently comes mainly from low-speed products. It warns that inadequate reliability, performance, or mass-production capacity for high-speed products could prevent customer qualification or large-volume shipments.
Dongbai also disclosed that it does not currently conduct the relevant business and has no corresponding research-and-development personnel reserve, identifying cross-industry operating and integration risks. Separately, the Shanghai Stock Exchange issued a regulatory work letter concerning the acquisition to the company, directors, senior management, controlling shareholder, and actual controller; the supplied messages do not reproduce its substantive questions.
