XMax’s five-year commitment requires board approval, a security guarantee, and a standby letter of credit by November 17.

· ComputeLabs Research · from the November 2, 2026 edition

The filed announcement makes the five-year service commitment conditional on XMax board approval and delivery of a security guarantee and standby letter of credit (SBLC) in favor of kt cloud by November 17, 2026. Service and billing nevertheless commenced on October 29, distinguishing the start of service from satisfaction of the longer-term commitment’s closing conditions.

XMax remains responsible for its authorized operating subsidiary’s acts and omissions under the agreement. The supplied excerpts do not disclose the SBLC amount, its bank issuer, or any collateral pledged to obtain it, so those financing details cannot be established from this source package.

The agreement also distinguishes infrastructure-event liability from DSH’s own direct breaches. For infrastructure events, DSH’s monetary liability is limited to the corresponding recovery finally recognized and made available for affected services, subject to the exclusive service-level agreement remedy; kt cloud’s current upstream limit is four months of relevant paid charges, not a guaranteed recovery for each incident or XMax’s aggregate liability cap.

For DSH’s own direct breach, its aggregate damages cap is generally the service charges discharged by XMax during the preceding six months. The excerpt excludes specified settlement obligations from that cap and preserves liability for fraud, willful misconduct, and gross negligence; it does not supply the complete provision governing XMax’s maximum upstream liability.
