Neocloud Axe Compute (Nasdaq: AGPU) sold legacy oncology subsidiary Helomics to DataMEDS for $1.5 million in shares and a note.

An SEC-filed DataMEDS press release, dated September 15 and filed September 16, states that DataMEDS AI (Nasdaq: MEDS) completed the acquisition of Helomics from Axe Compute. Consideration comprised DataMEDS common shares and an acquisition note with a stated total purchase value of $1.5 million; this was not described as an all-cash payment to Axe Compute.

DataMEDS received the clinical laboratory, its equipment, the Predictive Oncology contract research organization’s central laboratory services business, and $1.5 million in cash. The release says the acquisition carried no third-party debt requiring repayment and no unpaid accounts payable outside continuing monthly operating expenses.

Helomics was the final operating business remaining from Axe Compute’s former identity as Predictive Oncology Inc., before its December 2025 name change. The disclosure therefore documents a completed legacy-business disposal connected to the company’s transition toward GPU-as-a-Service (GPUaaS), rather than merely announcing an intended pivot.

The release describes Axe Compute Access as providing GPU infrastructure across global locations and Axe Compute Build as supporting dedicated infrastructure design, deployment, ownership, and operation. It does not disclose the transaction’s share count, note terms, or resulting dilution, and the filed company descriptions do not independently establish deployment scale or compute-services revenue.
