Meta Platforms priced $15 billion of senior notes in five tranches, according to Telegram reports citing a November 3 Securities and Exchange Commission (SEC) filing. The supplied material establishes pricing, but does not provide a settlement confirmation or the underlying Meta filing URL.
Two tranches were described in detail: $3.25 billion due in 2031 with a 5.85% coupon, and $3.25 billion due in 2033 with a 6.25% coupon. A separate FinancialJuice report said Moody’s assigned an Aa3 rating to the new senior unsecured notes.
Earlier reporting, attributed to people familiar with the offering, put dollar-bond orders as high as $58 billion and described a broader cross-currency fundraising objective of at least $20 billion, including a prospective euro issue. That report also cited a spread of approximately 2.2 percentage points over U.S. Treasuries for a 2056 maturity, around 0.9 percentage points above a comparable April issue; these earlier market indications should not be treated as a complete final pricing schedule.
The broader financing report also said Meta had raised $37.5 billion through common and preferred shares, planned up to $60 billion of additional stock issuance, and had received a negative rating outlook from S&P because of AI spending pressure. These are secondary-source claims, and the contemplated additional equity issuance is not a completed financing.
