Colocation operator Duos Technologies (NASDAQ: DUOT) closed its GPU-as-a-Service sale September 30; $42.9 million gross deferred consideration remains subject to contractual offsets.

The Securities and Exchange Commission (SEC)-filed presentation separates sale proceeds from debt repayment. Duos disclosed $42.9 million in gross deferred consideration from its September 30 GPU-as-a-Service (GPUaaS) sale, payable in installments subject to contractual offsets and accelerated-settlement provisions. Axe separately repaid approximately $87.8 million of special-purpose vehicle (SPV) debt at closing; that repayment is not part of the deferred consideration.

Duos retained its facility-operating role. The company says it owns and operates the Columbus, Georgia, campus, supplying power, cooling, security, and managed infrastructure, with service to its hyperscale anchor customer uninterrupted through the sale. Its remaining businesses are Hosting and Technology Solutions, with Technology Solutions having been the largest revenue line in Q2 2026 and carrying approximately $28 million in backlog as of that quarter.

Signed hosting agreements still have service-readiness conditions. Five-year Axe Compute agreements signed in August cover 55 MW and more than $500 million in base payments, with readiness targeted for late 2026 to early 2027 and billing following testing and acceptance. A separate five-year Columbus hyperscaler agreement covers 10 MW and more than $111 million, with Q4 2026 availability expected; more than 100 MW under evaluation is a development pipeline, not delivered capacity.

Capital allocation and financial guidance remain management disclosures. Duos reaffirmed full-year 2026 revenue above $50 million and positive adjusted earnings before interest, taxes, depreciation, and amortization (EBITDA), and cited a 2027 revenue outlook above $160 million. Its $112.3 million cash figure is the historical June 30 balance—not current liquidity—and its October 5 allocation policy directs capital exclusively to 10–30 MW modular colocation sites; the presentation warns of power, financing, commissioning, counterparty, and customer-concentration risks.
